About these terms
These terms are between you and Totomize Ltd, trading as Wilson's Websites, a company registered in England and Wales (company number 16345582), registered office 3rd Floor, 86–90 Paul Street, London EC2A 4NE. “We” and “us” means Totomize Ltd; “you” means the person or business we are working with or who is using this website.
They apply to every project and plan unless your written quote says otherwise. If anything in your quote conflicts with these terms, the quote wins.
Using this website
The information on this site is general and may change. We try to keep it accurate, but it is not advice for your particular situation. Links to other websites are provided for convenience; we are not responsible for their content. Please don’t misuse the site, attempt to break it, or copy its design and content without permission.
Quotes and starting work
After an initial conversation we send a written quote with what we will do, a fixed price and an expected timeline. Quotes are valid for 30 days. Work starts once you have accepted the quote in writing (email is fine) and paid any deposit it asks for.
Scope and changes
The quote defines the work. If you want something that is not in it, we will tell you whether it changes the price or the timeline before we do it, and only go ahead once you agree. We will never add charges without asking first.
What we need from you
- Content, images, logins and decisions in good time. Delays on your side can move the timeline.
- Material you have the right to use. You are responsible for the text, images and other content you give us.
- Checking and approving work at each stage. Once you approve a design or a launch, later changes may be charged as extra work.
- Making sure your business meets the rules that apply to it, such as consumer, financial or industry regulations, for what your website says and does.
Fees and payment
Prices and payment stages are set out in your quote. Invoices are due within 14 days unless the quote says otherwise. If an invoice is overdue we may pause work, and for business clients we may charge statutory interest on late payments.
Some costs belong to third parties: domain names, platform subscriptions (such as Shopify, Wix or Framer plans), paid themes, plugins, apps and AI usage. Where possible these are set up in your name and billed to you directly. Where we pay them on your behalf, the quote or invoice will say so.
Third-party platforms
We build on platforms and services run by other companies, including WordPress, Shopify, Wix, Framer, Vercel and Supabase. Your use of them is also subject to their own terms. We are not responsible for their outages, price changes, policy changes or decisions about your account, though we will help you deal with them.
Who owns what
Once you have paid in full, you own your finished website, its design and the content made for it. Domains, hosting accounts and platform accounts are registered in your name wherever the provider allows, and if you ever move to someone else we hand everything over.
We keep ownership of our general know-how and any reusable tools, code or components that existed before your project or are not specific to it, and give you a permanent licence to use them as part of your website. Themes, plugins, fonts and other third-party items remain under their own licences.
We may show your project in our portfolio and mention you as a client. Just tell us if you would rather we didn’t.
Hosting and care plans
Care plans are paid monthly with no minimum term. You can cancel with 30 days’ notice, and we will hand over your site, files and access so you can move it elsewhere. What each plan includes is set out when you sign up.
We keep backups and monitor your site, and we work hard to keep it online, but we cannot guarantee uninterrupted service: hosting providers, platforms and the internet itself sometimes fail. If something goes wrong, we will tell you and fix it as quickly as we reasonably can.
SEO and GEO
Search engines and AI assistants such as Google, ChatGPT and Perplexity are run by other companies, which decide what they show. We do the work that gives your business the best chance of being found and mentioned, and report on it honestly, but we cannot guarantee particular rankings, traffic or mentions.
AI chatbots and automations
Chat assistants we build answer from information you provide and within limits we agree with you. AI can still get things wrong, so you are responsible for checking what your assistant is set up to say, keeping its information up to date, and making sure its use suits your business. Automations act on the tools and accounts you connect, and depend on those services continuing to work as they do today. We monitor and adjust them as set out in your quote or plan.
How we use AI
We work AI-first: we use AI tools for drafts, research and routine build work. A person reviews everything before it reaches you or goes live. We do not put your confidential information into AI tools that use it to train their models.
Confidentiality and data
We keep your business information, logins and anything you share with us confidential, and only use it to do the work. Our Privacy Policy explains how we handle personal information. Where we handle your customers’ personal information on your behalf, we act as your processor and will sign a data processing agreement on request.
Our liability
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot legally be limited.
Otherwise, for business clients: we are not liable for indirect or consequential losses, or for loss of profit, revenue, business or data; and our total liability for any project or plan is limited to the fees you paid us for it in the 12 months before the claim arose.
Ending our work together
Either of us can end a project by written notice if the other seriously breaks these terms and does not put it right within 14 days of being asked. If a project ends early, you pay for the work done up to that point, and we hand over everything completed and paid for.
Consumer rights and the law
If you are buying as a consumer rather than a business, you have legal rights that these terms do not affect, including under the Consumer Rights Act 2015 in the UK. Australian clients keep the guarantees given by the Australian Consumer Law, which cannot be excluded.
These terms are governed by the law of England and Wales, and the courts of England and Wales have jurisdiction, except where consumer law gives you the right to bring a claim where you live.
